And then there is always the massive chance of down rounds. Your equity will likely remain flat for long periods while you grow at the company. Problem is those ESOP plans and RSUs that you planned to dangle as a carrot are no longer worth anything. In order to do that you are probably gonna wanna hire a few key players and executives that have been there and done that. Revenue NEEDS to continue at a crazy pace in the next 12-24 months. If you have raised at multiples of 100x in either your Seed, Series A, B or actually any round for that matter, you are officially on the clock. So why is this bad for a startup? Main reason: stalled / dead equity plans. The saying could be ‘there are 3 things you can guarantee in this world: death, and SaaS multiple reattaching to reality. And you know what things usually do when they are outside the norm? They regress their asses back there.
